These Terms of Service (“Terms”) govern your access to and use of the Relay application and related services (the “Service”) provided by [Relay — your registered legal entity](“Relay,” “we,” “us”). By creating a workspace or using the Service, you agree to these Terms.

The Service

Relay is a WhatsApp CRM that uses AI to help you reply to customers, connect a WhatsApp number, build a knowledge base, and optionally integrate third-party tools. Features and limits depend on your subscription plan.

Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your workspace. You must be legally able to enter into these Terms and use the Service in compliance with all applicable laws.

WhatsApp connection

Relay connects to WhatsApp through an unofficial multi-device gateway rather than the official WhatsApp Business API. Use of unofficial access may violate WhatsApp's terms and can result in your number being rate-limited, blocked, or banned. You connect a WhatsApp number at your own risk, and you are responsible for how you message your contacts, including obtaining any consent required by law.

AI-generated content

Replies are generated by automated AI models and may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI behavior, configuring hand-off to a human where needed, and for all messages sent from your workspace. The Service is provided as a tool and does not constitute professional advice.

Acceptable use

• No spam, unsolicited bulk messaging, or unlawful, harmful, or fraudulent content.
• No harassment, hate speech, or messaging that violates the rights of others.
• No attempts to disrupt, reverse-engineer, or gain unauthorized access to the Service.
• Comply with WhatsApp's policies and all applicable messaging and privacy laws.

Subscriptions & payment

Paid plans are billed through our payment provider (iPaymu) on a recurring basis until cancelled. Plan limits (such as the number of WhatsApp numbers and agents) are enforced by the Service. Fees are stated in the app and may change with notice. Except where required by law, payments are non-refundable.

Termination

You may stop using the Service and delete your workspace at any time. We may suspend or terminate access if you violate these Terms or create risk or legal exposure for us or the Service. Deleting your workspace removes your data as described in the Privacy Policy.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered.

Limitation of liability

To the maximum extent permitted by law, Relay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the three months preceding the claim.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above; continued use of the Service constitutes acceptance.
